Master Service Agreement (MSA)

This Master Service Agreement ("Agreement") governs services provided by Allay Home Services LLC ("Service Provider," "we," "us," or "our") to the individual or entity booking services ("Client," "you," or "your").

  1. Services Provided. Service Provider offers time-based home services including, but not limited to, cleaning, organizing, childcare, and household support ("Services"). Services are billed based on reserved time and labor; specific outcomes are not guaranteed.
  2. Booking & Payment. All services must be paid in advance to reserve time. Time is not reserved or guaranteed until full payment is received.
  3. Acceptance of Terms. By checking the required agreement box in the Complete Payment section of this website and completing payment, Client agrees to be legally bound by this Master Service Agreement, the Service Policy, and the Privacy Policy, each as in effect at the time of booking.
  4. No Guarantee of Outcomes. Client acknowledges that results depend on conditions, collaboration, and decisions made during the session. Completion of any particular task or outcome is not guaranteed.
  5. Client Responsibilities. Client agrees to:
    • Provide safe, legal, and timely access to the service location
    • Disclose pets, hazards, or special conditions
    • Supervise children and guests unless childcare services are explicitly booked
    • Remove valuables and fragile items from service areas
  6. Limitation of Liability. To the fullest extent permitted by law:
    • Service Provider is not liable for indirect, incidental, or consequential damages.
    • Total liability for any claim shall not exceed the amount paid for the session giving rise to the claim.
  7. Indemnification. Client agrees to indemnify and hold Allay Home Services LLC harmless from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from conditions at the service location, undisclosed hazards, or actions of Client or occupants, except to the extent caused by gross negligence or willful misconduct.
  8. Chargebacks and Disputes. Chargebacks for completed services constitute a breach of this Agreement. Service Provider reserves the right to submit documentation to financial institutions and to decline future services.
  9. Governing Law and Venue. This Agreement shall be governed by the laws of the State of Maryland, without regard to conflict-of-laws principles. Any action arising under this Agreement shall be brought in the state or federal courts located in Maryland. Nothing prevents either party from bringing an individual claim in Maryland small claims court where jurisdiction is proper.
  10. Entire Agreement. This Agreement, together with the Service Policy, constitutes the entire agreement between the parties regarding services.
